Bob Warren is a partner in the firm's Corporate Department, where he counsels public and private companies on mergers and acquisitions, financing transactions (including public offerings, PIPEs and venture capital investments) and strategic relationships.

Bob regularly advises entrepreneurs and venture capitalists on a wide range of issues in support of their companies’ growth, from compensation strategies to liquidity transactions. He is one of the original lawyers that opened Foley Hoag's Emerging Enterprise Center in Waltham, Massachusetts and has advised clients on dozens of angel and venture financings. Bob’s clients represent the New England technology economy, with heavy concentrations in life sciences (medical device, nanotechnology and pharma), clean technology (renewables and transportation) and software and e-commerce. In addition to entrepreneurs, he has represented a number of investors in venture capital and private equity transactions, including Highland Capital Partners, Polaris Venture Partners, Flagship Ventures, Safeguard Scientifics, Felda Palm Industries of Maylasia, North Hill Ventures, Ironwood Capital and Mast Capital.

Having worked for a public accounting firm and as a controller for a software localization company prior to law school, Bob brings a unique perspective to his clients. He has been a certified public accountant since 1997.

  • Represented electric vehicle company in its negotiations of strategic development agreements with a Fortune 500 sport vehicle manufacturer and a multi-national electronics manufacturer.

  • Represented venture backed nanotechnology company in a $47 million preferred stock financing and cross boarder joint venture.

  • Represented NYSE medical device company in a series of acquisitions of research and development stage companies totaling more than $500 million.

  • Represented Series A investors in the reorganization of a U.K. start-up in the United States and the related acquisition of intellectual property from France.

  • Represented SaaS start-up in $5.5 million Series A financing.

  • Represented angel investors in the seed funding of two start-up companies created from the spinout of wind and thermal technologies developed by a renewable energy research and development company.

  • Represented medical device start-up in its organization and $1.5 million convertible note seed financing.
