Sarah Cooleybeck will moderate the panel “Changing Partners: Optimizing Collaboration and License Agreements for Change of Control” at 10:00 AM. This session will address how to account for change of control when negotiating collaboration and license agreements, including treatment of acquiror IP, firewalls and other restrictions, and termination rights. The panel will also discuss practical concerns from the perspective of companies operating under such provisions.
Jeremy Younkin will host the roundtable “The Brulotte Rule: Identifying Problematic Royalty Durations in Patent Licenses” at 11:15 AM. This session will provide an overview of the Brulotte rule, discuss recent caselaw applying it, and provide tips on how to spot problematic royalty durations in patent licenses and avoid Brulotte’s pitfalls.
