Ivanna helps companies with on a variety of corporate and transactional matters. Her practice specifically focuses on drafting and negotiating commercial and intellectual property-focused agreements for her clients. She also  assists companies with entity formation, governance, and other general corporate matters. 

Ivanna works with companies across industries with particular experience in the life sciences and technology sectors. She helps her clients enter into strategic collaboration agreements and development agreements. She also assists her clients in building and managing relationships with service providers, vendors, academic institutions, and other key partners by drafting and negotiating license agreements, master services agreements (MSAs), sponsored research agreements (SRAs), clinical trial agreements (CTAs), software-as-a-service (SaaS) agreements, academic licenses, consulting agreements, and other commercial contracts.

  • Concerto Biosciences, a microbial ecology company in a development and commercialization agreement with Sacco System, a global biotechnology company specializing in the research, development and production of natural and innovative biotechnological solutions for the food, nutraceutical, pharmaceutical, and agro-veterinary industries. The strategic agreement will allow Sacco to apply Concerto’s full stack data generation and AI platform, including its kChip technology and kAI model, to Sacco’s library of food-grade cultures to advance cutting-edge microbial ingredient discovery. 
  • Biotechnology ecosystem company Alloy Therapeutics in a strategic collaboration and licensing agreement with Takeda to develop and commercialize the latter’s induced pluripotent stem cell (iPSC) driven CAR-T cell platform (iCAR-T) and CAR-NK platform (iCAR-NK) for cell therapy in oncology indications
  • LigaChem Biosciences (KRX: 141080), a clinical stage biopharmaceutical company, in two transactions involving the license of LigaChem technology to Ono Pharmaceutical (TSE/TYO: 4528), to grow Ono’s oncology portfolio:
    • an exclusive license to LCB97, a pre-clinical stage antibody-drug conjugate (ADC) aimed at being a first-in-class drug in the field of solid tumors, for upfront and milestone payments of up to $700 million, plus tiered royalties; and
    • a research collaboration and license agreement to generate novel ADC candidates leveraging LigaChem’s ConjuAll™ ADC platform, granting Ono an exclusive global right to ADC candidates to be generated against multiple targets selected by Ono, for a target exclusivity fee, milestone payments, and tiered royalties.
  • Ginkgo Bioworks (NYSE: DNA), the leading horizontal platform for cell programming, in several transactions, including:
    • its acquisition of StrideBio’s adeno-associated virus (AAV) capsid discovery and engineering platform assets
    • its agreement with Pfizer (NYSE: PFE) focused on the discovery of RNA-based drug candidates for up to $331 million in upfront, research, and development and commercial milestone payments, plus royalties, across three programs
