I enjoy helping private investment funds and investment advisers in all aspects of their business.

Ayah Zaidi advises domestic and international fund managers and institutional investors across the private funds landscape. Her practice encompasses the formation, structuring, operation and ongoing maintenance of private equity, venture capital, private credit, hedge, impact and other private investment funds. She also represents investors in private fund investments, guides clients through regulatory and compliance matters and advises non-U.S. managers on offering their funds in the United States. 

Ayah works with fund sponsors throughout the fund life cycle, from initial structuring and preparation of offering and governing documents through fundraising, investor negotiations, closings and ongoing operations. She has experience managing complex, multijurisdictional fund formations. 

Ayah advises investment managers on federal securities and commodities laws and other regulatory, compliance and reporting obligations. She also represents institutional investors in connection with investments in private funds, including reviewing fund documentation and negotiating investment terms. In addition, Ayah advises non-U.S. fund managers seeking to offer their funds in the United States, helping them adapt fund documents and navigate applicable U.S. regulatory and compliance requirements. 

Ayah brings a practical, thoughtful and business-minded approach to helping clients navigate sophisticated fund matters.

Experience

  • Clean Energy Venture Management, LLC (CEV), an impact investor in early-stage advanced energy startups, on the closing of its first fund, Clean Energy Venture Fund I, LP (Fund), with $110 million in capital commitments; as well as its second flagship climate tech fund, an oversubscribed funding round with total capital commitments of $305 million, significantly higher than its initial $200 million target.
  • Energize Capital, a prominent multi-stage investor in climate solutions, on the final closing of its Energize Ventures Fund III LP, securing $430 million in capital commitments for the fund and its related vehicles from institutional, corporate strategic, family office, and impact investors
  • Prime Coalition in forming Prime Impact Fund, an innovative pooled vehicle aggregating philanthropic and mission-related capital to support breakthrough climate tech start-ups, and closing on approximately $50 million in capital commitments
